1. Definitions

• Client: posts projects for Providers

• Provider: delivers services upon project acceptance

• Company: operates the platform and intermediary services

2. Acceptance

By registering or posting/accepting a project, you agree to these Terms.

3. Services

• Matching: AI‑driven recommendations of Providers for Clients

• Payments: funds held in our accounts and released upon milestone approval

• Project Management: in‑platform tools for communication, milestones, and deliverables

4. User Obligations

• Clients: must provide accurate project briefs and fund escrow before work starts

• Providers: must deliver work per agreed milestones and quality standards

• Both: maintain confidentiality of project materials

5. Fees & Billing

• We charge a platform fee (as per your agreement). All other fees (to Providers) are agreed directly between Client and Provider.

• Platform fees are non‑refundable once work begins.

6. Payments & Releases

• Clients deposit full project fees into our account before commencement.

• Providers request milestone releases upon completion; Company releases funds after Client approval or automatic release after 14 days.

7. Intellectual Property

• Clients retain ownership of all project‑related IP unless otherwise agreed in writing.

• Providers grant Clients a perpetual, worldwide license to use deliverables upon full payment.

8. Confidentiality

All project details, code, designs, and communications are confidential. Unauthorized sharing is prohibited.

9. Dispute Resolution

• Mediation: Our Project Manager first attempts to mediate.

• Arbitration: unresolved disputes go to binding arbitration in India under the Arbitration and Conciliation Act, 1996.

10. Liability & Indemnity

• Company’s liability is limited to facilitating the platform and escrow; we are not responsible for quality of work or direct Client‑Provider disputes.

• You agree to indemnify Company against any third‑party claims arising from your breach of these Terms.

11. Termination

• Clients: may cancel unassigned projects at any time.

• Providers: may withdraw from unaccepted requests.

• After acceptance, termination and refunds follow the milestone and refund policy in the project agreement.

12. Governing Law

These Terms are governed by Indian law. Courts in Chandigarh, India and have exclusive jurisdiction.

13. Amendments

We may update these Terms; continued use after posting constitutes acceptance.
